Michael J. Barbera
Michael
J. Barbera is Vice President and Treasurer and one of the three founding
Principals of IVS Associates, Inc. (“IVS”). Prior
to IVS, Michael was an Assistant Secretary in the Meeting Services Division
of CT Corporation System (“CT”). He started in 1984 after
graduating from the University of Delaware with a degree in Criminal
Justice. His career has been spent as a Meeting Services Specialist serving
as an Election Judge at over 400 annual and special meetings and at more
than 150 contested meetings. IVS, formed in August 2000, provides independent
inspector (or judge) of election services for corporation’s stockholder
meetings and professional association’s member balloting.
In
over 16 years in the meeting service industry Michael has served
as a Judge of Election for some of America’s best known companies:
Merck & Co, J.P. MorganChase,
General Electric Company, Tesoro Petroleum and Advanced Micro Devices. Contested meetings
where he served include: Target Corporation, CSX Corporation,
The Walt Disney Company and HP-Compaq.
Within the proxy industry, Michael has earned an excellent reputation
for his integrity and knowledge. He has developed systems for the complex
tabulation of contested elections as well as designing new methods for
efficient proxy tabulation. He is recognized as one of the leading experts
on proxy rules in the country. He has been a contributor to The American
Society of Corporate Secretaries annual conference as well as speaking
at numerous company and association functions.
Creig Dunlop
Creighton
(Creig) Dunlop, Assistant Vice President of IVS Associates, Inc.
(“IVS”), has served as a Shareholder Meeting Specialist
and Inspector of Election for more than 20 years. Prior to joining IVS
in January 2001, he worked in the Shareholder Meeting Services Division
of CT Corporation System as an Assistant Secretary, starting his service
in December 1982 after receiving a BAAS degree in English and a BSBA
degree in Marketing from the University of Delaware.
Creig has assisted in the tabulation and served as Inspector of Election
for over 500 annual and special shareholder meetings. Among the annual
meetings at which he has served as an Inspector of Election are Hershey
Foods Corporation, May Department Stores Company and USAirways Group,
Inc. He has also assisted in the tabulation of over 250 contested shareholder
meetings, serving as an Inspector of Election in over 150 of them. Among
the proxy contests at which he has served as an Inspector of Election
are Hewlett-Packard Company, Wachovia Corporation, Computer Associates
Inc. and ICN Pharmaceuticals, Inc. Creig
has earned an exceptional reputation throughout the proxy tabulation
industry for his expertise, fairness and accuracy. He has spoken at numerous
functions, including the Cleveland Bar Association’s Eighteenth
Securities Law Institute in 1989, the 1995-1997 ADP Constituents Conferences,
as well as various American Society of Corporate Secretaries conferences.
As his experience grows, his recognition as one of the leading proxy
tabulation experts and Inspectors of Election in the country continues
to grow, as well.
William
Marsh
William A. Marsh is President and one of three founding
principals of IVS Associates, Inc. (“IVS”). Prior to establishing
IVS, Bill worked at CT Corporation (“CT”) as a Meeting
Services Specialist. He started with CT in 1980 after graduation
from the University of Delaware with a Bachelor of Sciences degree
in Business Administration. All of his nearly twenty years with
CT were spent in the Meeting Services Division where he served
as an election judge at over 500 annual and special stockholder
meetings and at more than 200 contested stockholder meetings.
Over his 20 years in
the meeting service industry Bill has served as Judge of Election
for some of America’s best know companies: Morgan
Stanley, State Street Corp, Merck & Co, J.P. MorganChase,
Southwest Gas Corp, CBS Corporation and Delta Airlines. Contested meetings
where Bill has served include: Hp-Compaq, Target Corporation, Motorola, Inc., Biogen Idec and CSX Corporation. Within the proxy tabulation industry Bill has earned an exceptional
reputation for his integrity and knowledge. He is recognized as one of
the leading experts on proxy tabulation issues in the country and has
spoken at numerous company and association conferences and is a frequent
contributor to industry newsletters. Traveling the annual meeting circuit
has taken Bill to hundreds of locations form Alaska to Florida, and from
Singapore to London.
