Michael J. Barbera
Michael J. Barbera is Vice President and Treasurer and one of the three founding Principals of IVS Associates, Inc. (“IVS”). Prior to IVS, Michael was an Assistant Secretary in the Meeting Services Division of CT Corporation System (“CT”). He started in 1984 after graduating from the University of Delaware with a degree in Criminal Justice. His career has been spent as a Meeting Services Specialist serving as an Election Judge at over 400 annual and special meetings and at more than 150 contested meetings. IVS, formed in August 2000, provides independent inspector (or judge) of election services for corporation’s stockholder meetings and professional association’s member balloting.

In over 16 years in the meeting service industry Michael has served as a Judge of Election for some of America’s best known companies: The Dun & Bradstreet Corporation, Merck & Co., Inc., Texaco Inc., General Electric Company, Sunoco Inc. and Union Carbide. Contested meetings where he served include: Kmart Corporation, USX Corporation, ITT Corporation, RJR Nabisco and The National Association of Securities Dealers, Inc. Within the proxy industry, Michael has earned an excellent reputation for his integrity and knowledge. He has developed systems for the complex tabulation of contested elections as well as designing new methods for efficient proxy tabulation. He is recognized as one of the leading experts on proxy rules in the country. He has been a contributor to The American Society of Corporate Secretaries annual conference as well as speaking at numerous company and association functions.

Lawrence Bloom
Lawrence Bloom, Vice President and Corporate Secretary, joined IVS Associates, Inc. (“IVS”) as one of the three founding principals. Before joining IVS, Mr. Bloom was employed for 38 years at CT Corporation (“CT”) and finished his career there as an Assistant Vice President and Assistant Secretary. Prior to joining CT in 1962 Lawrence received his B.A. degree From Denison University.

He has been a Meeting Services Specialist during his entire career, having served as Election Judge at over 2,500 annual and special meetings and at more than 500 contested meetings. Among the corporations at whose annual meetings Lawrence has acted are : AT&T Corp., IBM Corporation, Eli Lilly and Company, New York Stock Exchange, Inc., Verizon, CITIGROUP and General Dynamics Corporation. Lawrence has acted at numerous contested meetings - Texaco Inc., Del Webb Corporation, Chock Full of Nuts, Lockheed Corporation and Bank of New York/Irving Trust Company.

Creig Dunlop
Creighton (Creig) Dunlop, Assistant Vice President of IVS Associates, Inc. (“IVS”), has served as a Shareholder Meeting Specialist and Inspector of Election for more than 20 years. Prior to joining IVS in January 2001, he worked in the Shareholder Meeting Services Division of CT Corporation System as an Assistant Secretary, starting his service in December 1982 after receiving a BAAS degree in English and a BSBA degree in Marketing from the University of Delaware.

Creig has assisted in the tabulation and served as Inspector of Election for over 500 annual and special shareholder meetings. Among the annual meetings at which he has served as an Inspector of Election are Hershey Foods Corporation, May Department Stores Company and USAirways Group, Inc. He has also assisted in the tabulation of over 250 contested shareholder meetings, serving as an Inspector of Election in over 150 of them. Among the proxy contests at which he has served as an Inspector of Election are Hewlett-Packard Company, Wachovia Corporation, Computer Associates Inc. and ICN Pharmaceuticals, Inc.

Creig has earned an exceptional reputation throughout the proxy tabulation industry for his expertise, fairness and accuracy. He has spoken at numerous functions, including the Cleveland Bar Association’s Eighteenth Securities Law Institute in 1989, the 1995-1997 ADP Constituents Conferences, as well as various American Society of Corporate Secretaries conferences. As his experience grows, his recognition as one of the leading proxy tabulation experts and Inspectors of Election in the country continues to grow, as well.

James J. Raitt
James (Jim) Raitt, Assistant Vice President of IVS Associates, Inc. (“IVS”), has served as a Shareholder Meeting Inspector of Election throughout his career. Prior to joining IVS in October 2002, Jim worked in the Registered Issuer Client Service area of Automatic Data Processing (“ADP”) as a Relationship Administrator. Previously Jim held a position at Commonwealth Associates (“CA”) a venture capital firm, where he served as a Senior Legal Administrator. Jim also held a position at Bank of New York (“BONY”) as a Senior Mutual Fund Administrator. Jim began his career at American Stock Transfer and Trust Company (“AST’) and reported directly to the owners of the firm, where he managed and worked in several key areas. Jim attended Hofstra University and studied International Business.

IVS, formed in August 2000, has quickly become renowned and respected as the premier independent proxy and ballot tabulator for corporate elections in the United States. Among the services IVS provides are independent Inspector (or Judge) of Election services for corporations’ shareholder meetings and professional associations’ member balloting. Corporations and professional associations nationwide have discovered how much more smoothly their annual meeting and/or ballot tabulation can be handled when they simply leave it to IVS.

With 10 years in the financial service industry, Jim has managed the tabulation and served as the Inspector of Election for companies at their annual, special and contested shareholder meetings. Some of the company’s at which Jim has served as an Inspector of Elections are Citigroup, Viacom, Motorola, Accenture and Walt Disney to name a few. He has also tabulated well over 500 shareholder meetings, serving as an Inspector of Election at many of them.

Jim has earned a reputation throughout the proxy industry for his expertise, customer service and consistency. He always looks to expand his knowledge of the proxy industry, and lend value to his clients and the peers where possible. As his experience continues to grow, Jim’s recognition as one of the leading proxy tabulation experts and Inspectors of Election in the country continues to grow as well.

William Marsh
William A. Marsh is President and one of three founding principals of IVS Associates, Inc. (“IVS”). Prior to establishing IVS, Bill worked at CT Corporation (“CT”) as a Meeting Services Specialist. He started with CT in 1980 after graduation from the University of Delaware with a Bachelor of Sciences degree in Business Administration. All of his nearly twenty years with CT were spent in the Meeting Services Division where he served as an election judge at over 500 annual and special stockholder meetings and at more than 200 contested stockholder meetings.

Over his 20 years in the meeting service industry Bill has served as Judge of Election for some of America’s best know companies: Morgan Stanley, State Street Corp, Merck, AT&T, Citigroup, ITT Industries, Southwest Gas Corp, General Dynamics and Eli Lilly. Contested meetings where Bill has served include: Wachovia Corporation, Computer Associates, NCR/AT&T, RJR Nabisco,
